
Terms and Conditions
Effective as of 12/04/2025
1. Agreement Overview
By engaging in this agreement for website development services with [CNCH Web Designs] (hereinafter referred to as "we", "our", or "us"), you (the "Client")
agree to the following terms and conditions. This agreement is binding upon signing by both parties and payment of the agreed deposit.
2. Scope of Services
We will provide the following services:

Website Design & Development: We will design and develop a custom website tailored to your brand, including responsive design for mobile and desktop.

Key Pages: Development of essential pages, including Home, About, Services, Contact, etc.

Features: Integration of requested features such as forms, blogs, e-commerce, etc.

SEO: Basic search engine optimization (SEO) to improve website visibility.

CMS: Implementation of a content management system (CMS) for easy client-side updates.
-
Testing and Deployment: Comprehensive testing on major browsers and devices, and final deployment to your hosting server.
Post-launch, we will provide basic support and minor revisions (up to 3 hours) within 14 days of the website's launch.
3. Payment Terms
The total project cost is £X,XXX, divided as follows:

25% Upfront Payment (Non-Refundable): Due upon signing this agreement to secure your spot in our schedule.

25% Halfway Payment: Due once the project reaches the halfway point, typically after initial design and development milestones are completed.

50% Final Payment: Due upon completion and approval of the website.
All payments must be made within 7 days of the invoice date. Late payments will incur a 10% late fee, and work will pause until payment is received. If no
payment is made, the project timeline may be extended, and additional fees may apply.
4. Project Timeline
The estimated timeline for completion is [X] weeks from the date of signing the agreement and receiving the initial deposit. Timelines may
be affected by delays in content delivery, client feedback, or additional scope requests. Delays may result in an extension of the project timeline.
5. Client Responsibilities

Content Delivery: The Client is responsible for providing all necessary content (e.g., text, images, videos) unless otherwise agreed in writing.

Domain and Hosting: The Client is responsible for purchasing and maintaining their domain and web hosting services unless otherwise agreed.

Third-Party Licenses: The Client will be responsible for purchasing third-party licenses, plugins, or subscriptions (e.g., stock images, premium plugins) unless otherwise agreed.
6. Revisions and Approvals

We offer a two-week period post-launch for minor revisions (up to 3 hours). Any additional work or major updates beyond the scope of the original agreement may incur additional charges.

Upon completion of the design, the Client will have the opportunity to review the website. If no feedback is provided within 5 business days, the website will be considered approved.

Additional features or changes outside the agreed-upon scope must be requested in writing and will require a change order with corresponding additional charges.
7.Ownership and Rights
Upon full payment, the Client will own all rights to the final website design, layout, and code, with the following exceptions:

Third-Party Assets: The Client does not own third-party assets, such as stock images, fonts, or plugins, which remain under their original licenses.

Design Elements: We reserve the right to display the completed project on our portfolio, website, and marketing materials unless otherwise agreed upon in writing.
8. Termination
Either party may terminate this agreement by providing written notice. If terminated, the Client agrees to pay for all work completed up to the termination date.
No refund of the deposit will be provided.
9.Dispute Resolution
This agreement is governed by the laws of England and Wales. In the event of any dispute arising from this agreement, the parties agree to attempt resolution
through informal discussions. If no resolution is reached within 14 days, the dispute may be referred to mediation with a mutually agreed-upon independent
mediator. If mediation fails, the dispute shall be resolved in the courts of England and Wales, which shall have exclusive jurisdiction.
10.Limitation
of Liability
We will take all reasonable precautions to ensure the functionality and security of your website. However, we are not liable for any damages, loss of data, or
downtime caused by circumstances beyond our control, including third-party services or software.
11.Force Majeure
Neither party shall be held liable for failure to perform its obligations under this agreement if such failure is due to circumstances beyond the reasonable control
of the party, including, but not limited to, natural disasters, war, or government actions.
12. Confidentiality
Both parties agree to keep confidential all proprietary or sensitive information exchanged during the course of the project, including technical specifications,
business practices, and other confidential information.
13. Acceptance of Terms
By engaging with CNCH Web Designs for website development services, the Client agrees to the terms and conditions outlined in this document.
